Sales and production numbers have been something of a mystery for many years. Some of this is part of the ownerhip journey the storied brand has mad in the last decade from MV/Cagiva/Husqvarna to Itlaian bankruptcy to Petronas to a combination of Italian banks guided by Mr Castigliano and then BMW. As far as I could tell inventory and sales numbers would be represented as a big cloud on any diagram of this process. During the first years of the BMW era BMW AG dealt with Husqvarna Motorcycles as a footnote in its annual reports leaving details to additional filings. In the 2012 annual report BMW gave us the following numbers.
Taken at face value the roughly 800+ unit difference leaves you scratching your head when you read the Asphaltand Rubber article and their unsold inventory figure that could reach in the range of 16,000 units. If you have followed the Morning Reads since the announcement of BMW's purchase of the company there have been some questions raised.
What BMW purchased in Varese took over a year to untangle from what was retained by MV Agusta. What was the unsold inventory at that time?
BMW stopped the sale of certain models during its ownership. What was the inventory build up resulting from that decision?
The model lineup was undergoing another change at the time of the current sale. Nuda, Strada, Terra production was being ramped up to take into new (to those models) markets while production/sales of current models continued. The flat lines between the annual report numbers do not seem so flat.
Corporate Raiding or As the Conglomerate Turns
If any of you have managed or within a division or subsidiary of a conglomerate that has been spun off the answer to this question depends on which side of the sale you are on. Expenses incurred by a division or subsidiary may be high compared to a similar stand alone company yet make great financial sense when your roll up the conglomerate numbers. As a senior manager when you sit down with the new owners you may have a great conversation about who is the bigger fool. You for incurring the conglomerate expense/overhead when local vendors could drastically undersell or the buyers for buying your company.
Production/Sales: Back to the production/sales numbers. How many units listed in sales were sold to another division , subsidiary importer? If they weren't delivered to dealers or end users they come back to the Austrians as unsold inventory.
Consulting Fees: We are not told what these were for. BMW has centralized motorcycle engine development in the old F1 facilities in Munich. The first time many of you may have noticed this was when the WSBK team reorganization was announced eliminating one team while giving chassis development to BMW Italia and engine development to the Munich facility. This no doubt results in a large chunk of the consulting fees for Husqvarna. The involvement of the engine development team with Husqvarnas projects like the three new bikes and others would fall under this. Historically BMW has front end loaded expenses for new products. This would have gone largely unnoticed in the big corporate roll up but stand out like a sore thumb in a sale like this.
Expensive Screws: The article alludes to expensive screws made abroad. This has been going on since the middle of the last decade. As BMW AG made its cage move into China, India and expansions in the Pacific rhim countries parts suppliers were sourced for new plants and alliances. Apparently production volumes were maintained by selling back to existing plants.
Where is the Foundry? : In Q3 2011 BMW took a major one time expense for renovation of Husqvarna (Another expense carried on the Husqvarna books). Prior to that the small web page for the Varese plant listed one of its major points as a foundry and engine production facility with a capacity of approximately 241 units per day. The total daily production capacity claimed, realignment of the product line and the renovation expense lead me and others to expect Husqvarna to lead an expansion into India. Bikes would be manufactured in Italy, shipped in kit form to India to avoid draconian tariffs and assembled in India by a partner. This model has been successful for BMW in South America.
The articles claim that the only thing left in Varese is real estate and a brand name has me wondering where is the foundry and what did they use to build all those bikes in 2013?
